SPONSOR: The Valpak "Grill It! With Bobby Flay" Sweepstakes (the "Sweepstakes") is sponsored by Valpak Direct Marketing Systems, Inc. ("Valpak") ("Sponsor").
HOW TO ENTER: The Sweepstakes will begin at 12:01 a.m. (ET) on July 21, 2008 and end at 11:59:59 p.m. (ET) on September 5, 2008 (the "Sweepstakes Period"). Participants can enter online, by mail or by calling a toll free telephone number. Entry limitations: Maximum of one (1) entry per person, per day during the Sweepstakes Period, regardless of method of entry used. (1) To enter online, complete the Official Online Registration form at http://www.valpak.com by entering your first name, last name, street address, city, state/province, zip code/postal code, daytime phone number (where you can be reached during normal business hours), birth date and e-mail address. If you wish to submit more than one online entry during the Sweepstakes Period, you must also check the "opt-in" box to indicate your consent to receive email updates about special offers and savings available through Valpak.com. Submit your entry by clicking on the "SEND" button. No more than one (1) online entry per day may be registered from the same computer terminal. You may withdraw your consent to receive these emails about special savings and offers from Valpak.com^® at any time by emailing us at customer_service@valpak.com and entering "Unsubscribe" into the subject line. If you unsubscribe or withdraw your consent to receive these marketing emails during the Sweepstakes Period, you will not be entitled to any further daily online entries for the remainder of the Sweepstakes Period. You may, however, continue to enter up to one (1) time per day using either the telephone or mail-in entry mechanism described below. (2) To enter by regular mail, cut-out and complete the registration form printed on the inside of your Valpak envelope, or hand-print on a 3"x5" piece of paper your name, address, city, state/province, zip code/postal code, daytime phone number (where you can be reached during normal business hours), and birth date. All mail-in entries must be mailed to The Valpak, "Grill It! With Bobby Flay" Sweepstakes, P.O. Box 37, Fombell, PA 16123. Maximum one (1) entry per stamped, outer mailing envelope. (3) To enter by telephone, call toll-free during the Sweepstakes Period at 1-800-595-3293, follow all recorded instructions and register your entry by recording your first and last name, street address, city, state/province, zip/postal code, daytime phone number (where you can be reached during normal business hours), and birth date. No more than one (1) telephone entry per day may be registered from the same telephone number. No photocopies, mechanical reproductions, altered, illegible, garbled, inaudible, incomplete, mutilated, postage-due or forged entries will be accepted. All online and telephone entries must be received no later than 11:59:59 p.m. (ET) on September 5, 2008, and all mail-in entries must be postmarked by September 5, 2008, and received by September 11, 2008. All entries become the property of Sponsor and none will be returned. In the event of a dispute in connection with the identity of the individual who submitted an online entry, the entry will be deemed to have been submitted by the authorized account holder of the e-mail account identified on the online entry form. The authorized account holder is deemed to be the natural person who is assigned to an e-mail address by an Internet access provider, service provider, or other online organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Multiple daily entries submitted by the same person will be disqualified.
ELIGIBILITY: Subject to the additional limitations set forth below, the Sweepstakes is open only to residents of the 50 United States and D.C. who are eighteen (18) years of age or older at time of entry and to residents of Canada (excluding Quebec) who have reached the age of majority in their province of residence at time of entry. Sweepstakes is not open to employees of Sponsor, Food Network (the "Promotional Partner") or any of their respective affiliates, subsidiaries, and advertising or promotional agencies, or to the immediate family members of, or to any persons domiciled with, any such employees. For purposes of the Sweepstakes, "immediate family members" are defined as spouses, children, siblings, parents, grandparents and grandchildren.
PRIZES & ODDS: The award of all prizes is subject to verification of eligibility and compliance with these Official Rules. Odds of winning a prize depend on the number of eligible entries received. One (1) Grand Prize: A 4-day/3-night trip for Grand Prize Winner and one (1) guest to New York City to attend the 2008 Food Network NYC Wine & Food Festival from October 10-13, 2008. Trip consists of two (2) round-trip coach class tickets for air transportation from the major hub airport closest to the Grand Prize Winner's home to New York City, two (2) roundtrip airport transfers to and from hotel, hotel accommodations for three (3) nights in New York City (one room, double-occupancy; location to be determined by Promotional Partner in its sole discretion), admission for two (2) days (four (4) total tickets) to the 2008 Food Network NYC Wine & Food Festival Grand Tasting), admission for one day (two (2) total tickets) to the Demo by Bobby Flay, and $500 USD spending cash. Approximate Retail Value ("ARV") of Grand Prize is four-thousand, two-hundred and seventy U.S. dollars ($4,270 USD). Twenty-five (25) First Prizes: Bobby Flay's Grill It! Cookbook autographed by Bobby Flay. ARV of First Prize is thirty-five U.S. dollars ($35.00 USD). Total ARV of all prizes is five-thousand, one-hundred and forty-five U.S. dollars ($5,145 USD).

Grand Prize trip must be taken between October 10-13, 2008, and Grand Prize Winner and guest must be available to travel on any of those dates. Actual value of Grand Prize may vary depending upon location of major hub airport nearest to Grand Prize Winner's home, travel itinerary, and costs of air travel at time of award. Trip must be scheduled through [Promotional Partner's designated agency] at least 10 days in advance of travel. Travel dates are subject to availability and certain blackout dates and other restrictions may apply. No changes will be made to travel details once any portion of travel arrangements have been made, except at [Promotional Partner's and its agency's] sole discretion. Guests of Grand Prize Winner must travel with Grand Prize Winner on same itinerary. Travel must originate from and end at the same airport. Sponsor and Promotional Partner will not be responsible for changes in schedule of any element of the Grand Prize, and will not be liable for any expenses incurred as a consequence of flight cancellation/delay. The Grand Prize Winner and his/her travel companion may be required to provide appropriate government issued photo identification (such as a valid passport) at time of travel. The Grand Prize Winner and his/her travel companion are solely responsible for determining and obtaining all necessary travel documents and other travel requirements. Complete trip details will be furnished with prize notification. All expenses associated with Grand Prize travel package not specifically described above shall be the sole responsibility of the Grand Prize Winner and of his or her travel companion, including without limitation, local transportation, and food and beverages.

Prizes and individual components of prize package are non-assignable and nontransferable. No cash equivalents or substitutions by Winners are allowed. Prizes and individual components of prize package are subject to availability and Sponsor reserves the right to substitute prizes or prize components of equal or greater value for any reason whatsoever. Winners are solely responsible for payment of all taxes, if applicable, on prizes and for any costs incurred in claiming or using prize. The travel package and individual components of the travel package are subject to availability and Sponsor reserves the right to substitute a prize or prize component of equal or greater value. As a condition of receiving the travel package, the Grand Prize Winner may be required to complete, sign and have notarized an affidavit of eligibility, a liability release and, except where prohibited by law, a publicity release, which must be returned via mail or hand delivery within ten (10) business days of date of sender's notification postmark. Failure of the Grand Prize Winner to timely sign, notarize and return any required affidavit and release, or to claim a prize, or comply with any term or condition of these Official Rules, may result in disqualification, the forfeiture of his or her interest in the prize, and the award of the prize to a substitute drawing Grand Prize Winner to be randomly selected from all remaining eligible entries. The person (or the parents/legal guardians of a legal minors) traveling as a companion of the Grand Prize Winner must also complete and return a liability and publicity release before airline tickets or other components of the prize will be awarded.
WINNER SELECTION, NOTIFICATION AND ACCEPTANCE: A random drawing from among all eligible entries received will be conducted during regular business hours on or about September 12, 2008 to select one (1) Grand Prize Winner and twenty-five (25) First Prize Winners. Subject to the additional requirements explained below for Canadian Provisional Winners, the drawing will be conducted as follows: one (1) Grand Prize Provisional Winner and twenty-five (25) First Prize Winners will be selected at random by Sponsor's fulfillment center. The First Prize Winners selected will receive their prize by mail using the address provided on their entry form. The Sponsor's fulfillment center will attempt to contact the selected Grand Prize Provisional Winner in person by telephone during regular business hours (9:00 a.m. and 5:00 p.m. ET) using the telephone number provided on the Provisional Winner's entry form. If Sponsor's fulfillment center is unable to reach the Grand Prize Provisional Winner in person by telephone (Sponsor's fulfillment center will attempt to reach Provisional Winner up to three (3) times during a twenty-four hour period and no messages will be left), that Grand Prize Provisional Winner will be disqualified and a substitute Grand Prize Provisional Winner will be randomly selected from among the remaining eligible entries. The first eligible Grand Prize Provisional Winner that the Sponsor successfully contacts personally by telephone and who claims the Grand Prize in accordance with these Official Rules will be declared the Grand Prize Winner. The Grand Prize Winner may waive the right to receive a prize. The return of any prize, affidavit/release or prize notification as undeliverable, or a Grand Prize Winner's failure to otherwise comply with these Official Rules will result in disqualification, the forfeiture of all interest in the prize, and selection of a substitute Grand Prize Provisional Winner from among all remaining eligible entries. Unless prohibited by law, acceptance of a prize constitutes permission for the Sponsor, Promotional Partner, and their respective advertising and promotional agencies to use the Grand Prize Winner's name, address (city and state/province) and/or likeness for advertising and trade purposes without further compensation, worldwide and in perpetuity, in any and all forms of media, now known and hereafter devised, including without limitation the Internet.
CANADIAN WINNER: A Canadian Provisional Winner, in order to win and receive a prize, must first correctly answer, unaided and without mechanical or electronic assistance, a time-limited mathematical skill-testing question administered by mail or by telephone. Failure of a Canadian Provisional Winner to correctly answer the skill-testing question in the time allotted will result in disqualification, the forfeiture of his or her interest in the prize, and the random selection of a substitute Canadian Provisional Winner from among all remaining eligible entries. Sponsor will attempt to contact a Canadian Provisional Winner three times by telephone during regular business hours (9:00 a.m. and 5:00 p.m. ET) at the number provided on the Canadian Provisional Winner's entry form. If Sponsor is unable to reach a Canadian Provisional Winner personally by telephone (Sponsor's fulfillment center will attempt to reach Canadian Provisional Winner up to three (3) times during a twenty-four hour period and no messages will be left), that Canadian Provisional Winner will be disqualified and a substitute Canadian Provisional Winner may be randomly selected from the remaining eligible entries.
CONDITIONS: By entering, participants agree to be bound by these Official Rules and by the decisions of Sponsor and Sweepstakes judges appointed by Sponsor, which shall be final and binding in all respects. Any person attempting to defraud or in any way tamper with this Sweepstakes will be ineligible for prizes and may be prosecuted to the full extent of the law.
DISCLAIMERS: By entering, participants acknowledge and agree that the Sponsor, the Promotional Partner and their respective parents, subsidiaries, affiliates, officers, employees and agents (collectively, the "Sweepstakes Entities"), will not be liable for losses or injuries of any kind resulting from acceptance/possession/use and/or misuse of prize(s), the theft of prizes or mail, travel to and from any prize-related activity, participation in the Sweepstakes, printing, mailing or distribution errors, or any malfunctions of the telephone network, computer Internet system, computer dating mechanism, computer equipment, software, or any combination thereof, or for any entries that are late (including delayed data transmissions), tampered with, garbled, incomplete, misdirected, lost, postage-due, forged, illegible, inaudible, mutilated, mechanically duplicated, mass machine printed, or otherwise not in compliance with these Official Rules. Sweepstakes Entities are not responsible or liable for any injury or damage to any participant's or third person's computer and/or its contents, related to or resulting from Sweepstakes. Sponsor reserves the right to terminate, suspend or modify the Sweepstakes if, in its sole discretion, it determines that for any reason the Sweepstakes is not capable of running as originally planned, or fraud, technical failures, printing, mailing or distribution errors, or any other unanticipated causes or occurrences have compromised the fairness or integrity of the Sweepstakes. In the event the Sweepstakes is terminated prior to the stated end date, Sponsor reserves the right to award all prizes in a random drawing from among all eligible entries received as of the date of termination.
SWEEPSTAKES MAIL OPT-OUT REQUEST/WINNERS' LIST: To request the name and hometown of the Winners (available after October 24, 2008), an official mail-in entry form and/or a copy of these Official Rules, send a self-addressed, stamped business-size envelope to The Valpak "Grill It! With Bobby Flay" Sweepstakes, P.O. Box 13428, St. Petersburg, Florida 33733, Attn: Promotions Department. Indicate whether you are requesting the name of the Winners, an entry form or a copy of these Official Rules, or any combination of the foregoing. Residents of Vermont may omit return postage for rules or entry form requests.
