OFFICIAL RULES

NO PURCHASE, PAYMENT OR SUBMISSION TO SALES PRESENTATIONS NECESSARY TO ENTER OR TO WIN. A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING. ALL FEDERAL, STATE/PROVINCIAL, LOCAL AND MUNICIPAL LAWS AND REGULATIONS APPLY. VOID IN QUEBEC AND WHERE PROHIBITED BY LAW.

SPONSOR: Valpak & Martha's Cooking School Sweepstakes is sponsored by Valpak Direct Marketing Systems, Inc. ("Valpak") ("Sponsor"), 8605 Largo Lakes Drive, Largo, FL 33773, consists of a sweepstakes (the "Sweepstakes") and an instant win game (the "Instant Win Game") (collectively "Valpak Sweepstakes").
ELIGIBILITY: Subject to the additional limitations set forth below, the Valpak Sweepstakes is open only to legal residents of the fifty (50) United States and the District of Columbia who are eighteen (18) years of age or older at time of entry and to residents of Canada (excluding Quebec) who have reached the age of majority in their province of residence at time of entry. The Valpak Sweepstakes is not open to employees of Sponsor, Martha Stewart Living Omnimedia, Inc., or any of their respective affiliates, subsidiaries, and advertising or promotional agencies, or to the immediate family members of, or to any persons domiciled with, any such employees (collectively, the "Sweepstakes Entities"). For purposes of the Valpak Sweepstakes, "immediate family members" are defined as spouses, children, siblings, parents, grandparents and grandchildren.
HOW TO ENTER THE SWEEPSTAKES: The Valpak Sweepstakes will begin at 12:00:01 a.m. (ET) on September 15, 2008 and end at 11:59:59 p.m. (ET) on November 7, 2008 (the "Sweepstakes Period"). Participants can enter online or by mail. Two (2) separate drawings for the Sweepstakes will be held and entries must be received by the deadlines outlined in paragraph 6 below. Maximum of one (1) entry per person, per day for the Sweepstakes portion during the Sweepstakes Period, regardless of method of entry used, except that online entries will receive an additional five (5) entries into the Sweepstakes for a total of six (6) entries per day by following the instructions in paragraph 4, below, and mail-in entrants will receive the an additional five (5) entries into the Sweepstakes for a total of six (6) entries per mail-in entry as specified below in this paragraph 3. To enter the Sweepstakes online, go to marthastewart.com/cookingschool or complete the Official Online Registration form at http://www.valpak.com by entering your first name, last name, street address, city, state/province, zip/postal code, daytime phone number (where you can be reached during normal business hours), birth date and email address. Submit your entry by clicking on the "ENTER AND PLAY" button. Only one (1) online entry per day via the Official Online Registration form may be registered from the same person, except that additional online entries may be obtained during the same day (for a total of six (6) entries per day) by following the instructions in paragraph 4, below. To enter the Sweepstakes by regular mail, cut-out and complete the registration form printed on the inside of your Valpak envelope, or hand-print on a 3"x5" piece of paper your name, address, city, state/province, zip/postal code, daytime phone number (where you can be reached during normal business hours), and birth date. Only one (1) mail-in entry per person, per day is permitted, and each mail-in entry will result in the entrant receiving an additional five (5) entries into the Sweepstakes for a total of six (6) entries (which is the same number of entries available to online entrants each day of the Sweepstakes Period). All mail-in entries must be mailed to Valpak & Martha's Cooking School Sweepstakes, P.O. Box 37, Fombell, PA 16123. No more than one (1) mail-in entry per stamped, outer mailing envelope. All entries become the property of Sponsor and none will be returned. In the event of a dispute in connection with the identity of the individual who submitted an online entry, the entry will be deemed to have been submitted by the authorized account holder of the email account identified on the online entry form. The authorized account holder is deemed to be the natural person who is assigned to an email address by an Internet access provider, service provider, or other online organization that is responsible for assigning email addresses for the domain associated with the submitted email address. Multiple daily entries submitted by the same person, regardless of method of entry, will be disqualified.
HOW TO PLAY THE INSTANT WIN GAME: The Instant Win Game is only available online at http://www.valpak.com. The Instant Win Game will be presented to participants who register for the Sweepstakes via the online entry method described in paragraph 3, above. Playing the Instant Win Game is not required for Sweepstakes entry, and if the game is not played, you will still receive one (1) entry into the Sweepstakes, but playing the game will result in additional Sweepstakes entries, as described below. To play the Instant Win Game, complete the Official Online Registration form at Valpak.com and click on the "ENTER AND PLAY" button. You will automatically advance to the Instant Win Game page and receive five (5) additional entries into the Sweepstakes drawing. The Instant Win Game consists of a computer-generated prize wheel. To play the Instant Win Game, click on the "Spin" button. The wheel will start to spin. If you land on a "Try Again Tomorrow" spoke, you have not won a prize. If you land on any of the cook's tools spokes then you are a potential winner of one of the Instant Win Prizes described in paragraph 5, below. If you are an instant winner you will not necessarily receive as a prize the specific cook's tool described on the spoke you land on. Instant Win prizes will be randomly awarded and you will be notified of your prize after being verified as a winner. If you are a potential winner, an email with instructions on how to claim your prize will automatically be sent to the address you provided on the registration page. Participants must follow the instructions provided in the instant win notification email in order to be declared a winner and to claim their prize. All prize awards are subject to verification of the winning play, verification of eligibility and compliance with these Official Rules. Limit: Each participant may play the Instant Win Game only one (1) time per day during the Sweepstakes Period. For a description of each available Instant Win prize, see paragraph 5, below.

ALL POTENTIAL WINNING PLAYS ARE SUBJECT TO VERIFICATION BY SPONSOR, WHOSE DECISIONS ARE FINAL AND BINDING IN ALL RESPECTS. AN ENTRANT IS NOT A WINNER OF ANY PRIZE, EVEN IF THE INSTANT WIN GAME DISPLAYS A WINNING MESSAGE, UNLESS AND UNTIL ENTRANT'S ELIGIBILITY AND THE POTENTIAL WINNING PLAY HAS BEEN VERIFIED AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE. SPONSOR WILL NOT ACCEPT SCREEN SHOTS OR OTHER EVIDENCE OF WINNING IN LIEU OF ITS VALIDATION PROCESS. ANY PLAY THAT OCCURS AFTER THE SYSTEM HAS FAILED FOR ANY REASON IS DEEMED A DEFECTIVE PLAY AND IS VOID AND WILL NOT BE HONORED.
PRIZES & ODDS: The award of all prizes is subject to compliance with these Official Rules.

Grand Prize: Five (5) Grand Prize Winners will each receive a three (3) day/two (2) night trip for Grand Prize Winner and one (1) guest to New York City to attend the taping of The Martha Stewart Show as outlined in paragraph 6. Prize package consists of two (2) round-trip coach class tickets for air transportation from the major hub airport closest to the winner's home to New York City, NY, hotel accommodations for two (2) nights (one room, double-occupancy) at a hotel designated by Sponsor, one (1) dinner for two at a restaurant designated by Sponsor, ground transportation between the airport and the hotel, two (2) VIP tickets to the taping of The Martha Stewart Show as outlined in paragraph 6, one (1) $250 USD Macy's Gift Card, one (1) Martha Stewart Collection cook's tool set, and one (1) Martha Stewart Collection cookware set. Approximate retail value ("ARV") of each Grand Prize package is $3,475.00 USD, which may vary based on location of major airport nearest to Grand Prize Winner's home and costs of air transportation at the time of award. Odds of winning Grand Prizes depend on the total number of eligible entries received. All incidental costs and expenses not specifically mentioned herein shall be the sole responsibility of each Grand Prize Winner and of his or her travel companion, including, without limitation, travel and health insurance, ground transportation (except as provided above), airport security or transfer charges and taxes, food and beverages, incidentals, taxes, and gratuities. Each Grand Prize Winner and his or her travel companion must travel on an identical itinerary. Travel must originate from and end at the same airport. Each Grand Prize Winner and his or her travel companion may be required to provide appropriate government issued photo identification (such as a valid passport) at time of travel, and are solely responsible for determining and obtaining all necessary travel documents and complying with all other travel requirements. No changes will be made to travel itinerary or other travel details once any portion of travel arrangements have been made, except at Sponsor's sole discretion. Sponsor is not responsible for changes in schedule or for any expenses incurred as a consequence of flight cancellation/delay. Grand Prize is non-assignable and nontransferable. Grand Prize Winners are solely responsible for payment of all taxes on prizes and for any costs incurred in claiming or using prizes. Individual components of prize packages are subject to availability and Sponsor reserves the right to substitute prizes of equal or greater value. Grand Prize Winners will be required to claim their prizes by completing, signing and notarizing an affidavit of eligibility, a liability release and, except where prohibited by law, publicity release, which must be returned via mail or hand delivery within ten (10) business days of date of sender's postmark. Persons (or the parents/legal guardians of any legal minors) traveling as companions of the Grand Prize Winners must also complete and return a liability and publicity release before prize will be awarded. Grand Prize Winners and their travel companions, as applicable, must also sign any other legal documents which Sponsor may require (including W9 tax forms if applicable). Failure of any Grand Prize Winner to timely sign, notarize and return any required affidavit and release, or failure of any Grand Prize Winner to claim his or her prize or comply with any term or condition of these Official Rules, will result in disqualification, the forfeiture of his or her interest in the prize, and the award of the prize to a substitute drawing winner to be randomly selected from all remaining eligible entries at the end of the Sweepstakes Period.

Instant Win Prizes: One hundred and sixty four (164) instant win prizes will be awarded during the Sweepstakes Period as outlined in paragraphs 4 and 6. Prizes include: Twenty (20) Martha Stewart's Cooking School cookbooks (ARV $45.00 USD each); Twenty-four (24) Taylor Oven Thermometers (ARV $9.99 USD each); Twenty-four (24) 12" Wooden Spoons (ARV $4.99 USD each); Twenty-four (24) Soft Grip Grey Solid Turners (ARV $7.99 USD each); Twenty-four (24) 12" Tongs (ARV $9.99 USD each); Twenty-four (24) 10" TPR/Stainless Steel Whisks (ARV $9.99 USD each); Six (6) Microplane Zesters (ARV $14.99 USD each); Six (6) Stainless Steel Measuring Cups & Spoons (ARV $19.99 USD each); Six (6) Stainless Steel Spoons (ARV $9.99 USD each); Six (6) Blue Silicone Spatulas (ARV $7.99 USD each). Total ARV of all instant win prizes is $2,249.00 USD. Odds of winning instant win prizes depend on the total number of eligible entries received. Instant Winners cannot request a specific prize, prizes will be randomly awarded in the manner described in paragraphs 4 and 6. All incidental costs and expenses in claiming or using a prize not specifically mentioned herein shall be the sole responsibility of the Instant Winner. Prizes are subject to availability and Sponsor reserves the right to substitute prizes of equal or greater value. Failure of any Instant Winner to timely return any required information, or failure of any Instant Winner to timely claim his or her prize or comply with any term or condition of these Official Rules, will result in disqualification, the forfeiture of his or her interest in the prize, and the award of the prize to a substitute winner to be randomly selected from all remaining eligible Sweepstakes entries at the end of the Sweepstakes Period.
WINNER SELECTION, NOTIFICATION AND ACCEPTANCE: Each potential winner must comply with all terms and conditions of these Official Rules and winning is contingent upon fulfilling all requirements.

Sweepstakes Selection: Two (2) separate drawings for the Sweepstakes will be held. The first drawing will be held on or about October 13, 2008 to select four (4) Grand Prize Winners (the "Phase 1 Drawing") to attend The Martha Stewart Show on the first day of her new Cooking School segment on October 21, 2008. Travel must occur from October 20, 2008 to October 22, 2008. A second drawing will be held on or about November 14, 2008 to select one (1) Grand Prize Winner (the "Phase 2 Drawing") to attend The Martha Stewart Show by March 31, 2009. As noted in paragraph 2, above, to be eligible for a particular drawing, entries must be received by the stated entry deadline for that drawing. For the Phase 1 Drawing, all online entries must be received by 11:59:59 p.m. (ET) on October 10, 2008 and all mail-in entries must be postmarked by October 10, 2008 and received by 12:00:01 p.m. (ET) on October 13, 2008. For the Phase 2 Drawing, all online entries must be received by 11:59:59 p.m. (ET) on November 7, 2008 and all mail-in entries must be postmarked by November 7, 2008 and received by 12:00:01 p.m. (ET) on November 13, 2008. Random drawings from among all eligible entries received for the Phase I Drawing will be conducted during regular business hours on or about October 13, 2008 to select four (4) Grand Prize Provisional Winners and, for the Phase 2 Drawing, during regular business hours on or about November 13, 2008 to select one (1) Grand Prize Provisional Winner. No participant may be awarded more than one (1) Grand Prize. The drawings will be conducted as follows: The Grand Prize Provisional Winners will be selected at random and Sponsor's fulfillment center will attempt to contact the selected Grand Prize Provisional Winners by telephone during regular business hours (9:00 a.m. and 5:00 p.m. ET) using the telephone number provided on each Grand Prize Provisional Winner's entry form. If Sponsor's fulfillment center is unable to reach a Grand Prize Provisional Winner by telephone (Sponsor's fulfillment center may call up to three times in a 24-hour period and no messages will be left), or if a Phase 1 Drawing Grand Prize Provisional Winner is unwilling or unable to travel on the specified dates, that Grand Prize Provisional Winner will be disqualified and a substitute Grand Prize Provisional Winner will be randomly selected from among the remaining eligible entries. Subject to the additional requirements explained below for Canadian Provisional Winners, the first five (5) eligible Grand Prize Provisional Winners that Sponsor's fulfillment center successfully contacts by telephone and who claim their prize in accordance with these Official Rules will be declared the Grand Prize Winners, as applicable. Canadian residents who are selected in the drawings will be deemed Grand Prize Provisional Winners and will be awarded prizes subject to the requirements described below for Canadian Provisional Winners. Grand Prize Winners may waive their right to receive a prize.

Instant Win Game: One hundred and sixty four (164) random, computer-generated winning times, one (1) for each of the Instant Win Game prizes listed in paragraph 5 above, will be designated. The first player to play the Instant Win Game (i.e., clicks on the "Spin" button) at or after any one of the randomly generated times, will receive an on-screen instant winner message and the notification email described in paragraph 4, above. Subject to the additional requirements explained below for Canadian Provisional Winners, individuals must follow the instructions on screen and in the notification email in order to be declared a winner and to claim his/her prize.
CANADIAN WINNER: A Canadian Provisional Winner, in order to win and receive a prize, must first correctly answer, unaided and without mechanical or electronic assistance, a time-limited mathematical skill-testing question administered by mail or by telephone. Failure of a Canadian Provisional Winner to correctly answer the skill-testing question in the time allotted will result in disqualification, the forfeiture of his or her interest in the prize, and the random selection of a substitute winner from among all remaining eligible entries at the end of the Sweepstakes Period. Sponsor's fulfillment center will attempt to contact a Canadian Provisional Winner three times by telephone during regular business hours (9:00 a.m. to 5:00 p.m. ET) at the number provided on the Canadian Provisional Winner's entry form. If Sponsor's fulfillment center is unable to reach a Canadian Provisional Winner by telephone (Sponsor's fulfillment center may call up to three times in a 24-hour period and no messages will be left), that Canadian Provisional Winner will be disqualified and a substitute winner may be randomly selected from the remaining eligible entries at the end of the Sweepstakes Period.
CONDITIONS: By entering, participants agree to be bound by these Official Rules and by the decisions of Sponsor and Sweepstakes judges appointed by Sponsor, which shall be final and binding in all respects. Any person attempting to defraud or in any way tamper with this Sweepstakes will be ineligible for prizes and may be prosecuted to the full extent of the law. Unless prohibited by law, acceptance of a prize constitutes permission for the Sponsor and Martha Stewart Living Omnimedia, Inc., and their respective advertising and promotional agencies, to use each winner's name, address (city and state/province) and/or likeness for advertising and trade purposes without further compensation, worldwide and in perpetuity, in any and all forms of media, now known and hereafter devised, including without limitation the Internet.
DISCLAIMERS: By entering, participants acknowledge and agree that the Sweepstakes Entities will not be liable for losses or injuries of any kind resulting from acceptance/possession/use and/or misuse of prize(s), the theft of prizes or mail, travel to and from any prize-related activity, participation in the Valpak Sweepstakes, printing, mailing or distribution errors, or any malfunctions of the telephone network, computer Internet system, computer dating mechanism, computer equipment, software, or any combination thereof, or for any entries that are late (including delayed data transmissions), tampered with, garbled, incomplete, misdirected, lost, postage-due, forged, illegible, inaudible, mutilated, mechanically duplicated, mass machine printed, or otherwise not in compliance with these Official Rules. Sweepstakes Entities are not responsible or liable for any injury or damage to any participant's or third person's computer and/or its contents, related to or resulting from the Valpak Sweepstakes. Sponsor reserves the right to terminate, suspend or modify the Promotion if, in its sole discretion, it determines that for any reason the Valpak Sweepstakes is not capable of running as originally planned, or fraud, technical failures, printing, mailing or distribution errors, or any other unanticipated causes or occurrences have compromised the fairness or integrity of the Valpak Sweepstakes. In the event the Valpak Sweepstakes is terminated prior to the stated end date, Sponsor reserves the right to award all prizes in a random drawing from among all eligible entries received as of the date of termination.
SWEEPSTAKES MAIL OPT-OUT REQUEST/WINNERS' LIST: To request the names and hometowns of winners (available after December 26, 2008), an official mail-in entry form and/or a copy of these Official Rules, send a self-addressed, stamped business-size envelope to Valpak and Martha's Cooking School Sweepstakes, P.O. Box 13428, St. Petersburg, Florida 33733, Attn: Promotions Department. Indicate whether you are requesting the names of the winners, an entry form or a copy of these Official Rules, or any combination of the foregoing. Residents of Vermont may omit return postage for rules or entry form requests. To prevent delivery of future sweepstakes and contest mailings sponsored and operated by Valpak, please call the Valpak Sweepstakes Line at 1-888-797-1896 and follow the recorded instructions.
