SPONSOR: Valpak's "Win A VIP Trip to The Martha Stewart Show" Sweepstakes is sponsored by Valpak Direct Marketing Systems, Inc. ("Valpak") ("Sponsor"), 8605 Largo Lakes Drive, Largo, FL 33773, and consists of a sweepstakes (the "Sweepstakes") and an online instant win game (the "Instant Win Game") (collectively "Valpak Sweepstakes").
ELIGIBILITY: Subject to the additional limitations set forth below, Valpak Sweepstakes is open only to legal residents of the fifty (50) United States and the District of Columbia who are eighteen (18) years of age or older, or are the age of majority, whichever is older, at time of entry and to residents of Canada (excluding Quebec) who have reached the age of majority in their province of residence at time of entry. Valpak Sweepstakes is not open to employees of Sponsor, Martha Stewart Living Omnimedia, Inc., Delta Vacations, Facebook or any of their respective affiliates, subsidiaries, and advertising or promotional agencies, or to the immediate family members of, or to any persons domiciled with, any such employees (collectively, the "Sweepstakes Entities"). For purposes of Valpak Sweepstakes, "immediate family members" are defined as spouses, children, siblings, parents, grandparents and grandchildren.
HOW TO ENTER THE SWEEPSTAKES: Valpak Sweepstakes will begin at 12:00:01 a.m. (ET) on February 22, 2010 and end at 11:59:59 p.m. (ET) on April 9, 2010 (the "Sweepstakes Period"). Participants can enter online or by mail. Maximum of one (1) entry per person, per day for the Sweepstakes portion during the Sweepstakes Period, regardless of method of entry used, except that online entrants may receive additional entries into the Sweepstakes by following the instructions in paragraphs 4 and 5, below, and mail-in entrants will receive an additional five (5) entries into the Sweepstakes for a total of six (6) entries per mail-in entry as specified below in this paragraph 3. Each weekday (Monday-Friday) during the Sweepstakes Period, the television show "The Martha Stewart Show" (the "Program") will feature one or more guests during the Program. To enter the Sweepstakes, watch the Program each weekday during the Sweepstakes Period (check your local listings for the time and station), note one of the guest's names for that day and submit that guest's name either online by 11:59:59 pm (ET) on the day the guest appeared or by mail as instructed below. Participants who are not able to view the Program may obtain the name of one of the guests for entry into the Sweepstakes by visiting the http://www.marthastewart.com Internet site. All participants will be required to submit an entry into the Sweepstakes as outlined below and will be required to include with their entry a name of one of the guests that appeared on the Program. In the event a guest is not featured during an airing of the Program, participants will still be eligible for entry into the sweepstakes by entering "None" in the appropriate field of the entry form. Entries that do not include the correct information will be disqualified. To enter the Sweepstakes online, complete the Official Online Registration form at http://www.valpak.com or http://apps.facebook.com/valpaksweepstakes/ by entering your first name, last name, street address, city, state/province, zip/postal code, daytime phone number (where you can be reached during normal business hours), mobile phone number (optional), birth date, e-mail address and the name of one of the guests that appeared on the Program that day (i.e., on the day of entry), or "None" if applicable. Please note that this Sweepstakes is in no way sponsored, endorsed or administered by, or associated with, Facebook. Any questions regarding this Sweepstakes should be directed to Sponsor and not to Facebook. If you wish to submit more than one online entry during the Sweepstakes Period, you must also check the "opt-in" box to indicate your consent to receive email updates to your email account about special offers and savings available through Valpak.com. Submit your entry by clicking on the "ENTER AND PLAY" button. Only one (1) online entry per day via the Official Online Registration form may be registered from the same person, except that additional online entries may be obtained during the same day (up to a total of eleven (11) entries per day) by following the instructions in paragraph 4 and 5, below. You may withdraw your consent to receive emails about special savings and offers from Valpak.com at any time by emailing us at customer_service@valpak.com and entering "Unsubscribe" into the subject line. If you unsubscribe or withdraw your consent to receive these marketing emails during the Sweepstakes Period, you will not be entitled to any further daily online entries for the remainder of the Sweepstakes Period. You may, however, continue to enter up to one (1) time per day using the mail-in entry mechanism. To enter the Sweepstakes by regular mail, cut-out and complete the registration form printed on the inside of your Valpak envelope, or hand-print on a 3"x5" piece of paper your name, address, city, state/province, zip/postal code, daytime phone number (where you can be reached during normal business hours), birth date and the name of one of the guests that appeared on the Program, or "None" if applicable, and the date that guest appeared on the Program. Only one (1) mail-in entry per person, per day is permitted, and each mail-in entry will result in the entrant receiving an additional five (5) entries into the Sweepstakes for a total of six (6) entries. All mail-in entries must be mailed to Valpak's "Win A VIP Trip to The Martha Stewart Show" Sweepstakes P.O. Box 37, Fombell, PA 16123. No more than one (1) mail-in entry per stamped, outer mailing envelope. All entries become the property of Sponsor and none will be returned. In the event of a dispute in connection with the identity of the individual who submitted an online entry, the entry will be deemed to have been submitted by the authorized account holder of the e-mail account identified on the online entry form. The authorized account holder is deemed to be the natural person who is assigned to an e-mail address by an Internet access provider, service provider, or other online organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Multiple daily entries submitted by the same person, regardless of method of entry, will be disqualified.
HOW TO PLAY THE ONLINE INSTANT WIN GAME: The Instant Win Game is only available online at http://www.valpak.com or http://apps.facebook.com/valpaksweepstakes/. The Instant Win Game will be automatically presented to participants who register for the Sweepstakes via the online entry method described in paragraph 3, above. Playing the Instant Win Game is not required for Sweepstakes entry, and if the game is not played, you will still receive one (1) entry into the Sweepstakes, but playing the game will result in additional Sweepstakes entries, as described below. Playing the Instant Win Game is required in order to obtain additional Sweepstakes entries through Refer A Friend, as described in Section 5 below. To play the Instant Win Game, complete the Official Online Registration form at http://www.valpak.com or http://apps.facebook.com/valpaksweepstakes/ and click on the "ENTER AND PLAY" button. You will automatically advance to the Instant Win Game page and will receive five (5) additional entries into the Sweepstakes drawing. If you have a webcam, follow the online instructions and then click the "Play with Webcam" button to see if you are a potential winner of a prize. After completing the instructions, an image will appear letting you know if you have instantly won. If the image contains a "Sorry, you did not win. Play again tomorrow" message, you have not won a prize. If you receive a "Congratulations! You're a winner" message, then you are a potential winner of one of the Instant Win Prizes described in paragraph 6, below. A webcam is not required to play the Instant Win Game. If you do not have a webcam, complete the Official Online Registration form as indicated above. After clicking on the "ENTER AND PLAY" button, follow the online instructions and select "No Webcam" when prompted to see if you are a potential instant prize winner. If you are a potential winner, an email with instructions on how to claim your prize will automatically be sent to the address you provided on the registration page. Participants must follow the instructions provided in the instant win notification email in order to be declared a winner and to claim their prize. All prize awards are subject to verification of the winning play, verification of eligibility and compliance with these Official Rules. If you are declared an instant prize winner, you will receive your prize after the Sweepstakes has ended. Limit: Each participant may play the Instant Win Game only one (1) time per day during the Sweepstakes Period. For a description of the Instant Win prize, see paragraph 6, below.

ADDITIONAL ENTRIES FOR THE SWEEPSTAKES PRIZE DRAWINGS: Individuals who enter the Sweepstakes online and play the Instant Win Game can receive additional entries by referring a friend to Valpak's Sweepstakes (the "Refer A Friend"). Refer A Friend is not required to enter the Sweepstakes. To receive additional entries, follow the instructions below. Refer A Friend: After completing the Instant Win game, you can provide up to five (5) unique, valid names and email addresses of persons that you have an existing relationship with, who are legal residents of the fifty (50) United States and the District of Columbia and who have reached the age of majority in their state of residence or of Canada (excluding Quebec) who have reached the age of majority in their province of residence. You must also obtain permission from each such person before providing their contact information. Sponsor will send an email on your behalf advising the recipient about Valpak's Sweepstakes. You will receive one (1) additional Sweepstakes entry for every unique, separate valid email address that you provide, up to a maximum of five (5) additional entries per day. False or fictitious names and invalid email addresses, including those of individuals who do not meet the above exclusion criteria will not be eligible for additional entries and providing such false or fictitious names and invalid email addresses may be grounds for disqualification from the Sweepstakes and the Instant Win Game. Sponsor reserves the right in its sole discretion to determine whether or not additional entries shall be issued in connection with names and email addresses provided hereunder.
PRIZES & ODDS: The award of all prizes is subject to compliance with these Official Rules. Travel must occur the week of May 3, 2010 or May 10, 2010 as solely determined by Sweepstakes Entities. Grand Prize: One (1) Grand Prize Winner will receive one of the following trip options as selected by Grand Prize Winner and based upon availability. Option A: a three (3) day/two (2) night trip for Grand Prize Winner and one (1) guest, ten (10) years of age or older, to New York City to attend the taping of The Martha Stewart Show. Option A Prize package consists of two (2) round-trip first class tickets for air transportation from the major hub airport closest to the winner's home to New York City, NY, standard hotel accommodations for two (2) nights (one room, double-occupancy) at a hotel designated by Sweepstakes Entities, two (2) VIP tickets to the taping of The Martha Stewart Show, transportation to and from the studio, $250.00 USD in spending cash and a $250 USD gift card to Macys. Approximate retail value ("ARV") of Option A Prize package is $5,500 USD, which will vary based on location of major airport nearest to Grand Prize Winner's home and costs of air transportation at the time of award. Reservations must be made more than (22) calendar days in advance of travel and is subject to availability of first class seats on determined travel dates. Option B: a four (4) day/three (3) night trip for Grand Prize Winner and one (1) guest, ten (10) years of age or older, to New York City to attend the taping of The Martha Stewart Show. Option B Prize package consists of two (2) round-trip coach class tickets for air transportation from the major hub airport closest to the winner's home to New York City, NY, roundtrip transfers to and from hotel, deluxe hotel accommodations for three (3) nights (one room, double-occupancy) at a hotel designated by Sweepstakes Entities, two (2) VIP tickets to the taping of The Martha Stewart Show, transportation to and from the studio, a Manhattan Comprehensive Tour consisting of nine (9) hour guided tour from uptown to downtown Manhattan, buffet lunch, Lady Liberty Harbor Tour and admission to the Top of the Rock observation deck, $250.00 USD in spending cash and a $250 USD gift card to Macys. Approximate retail value ("ARV") of Option B Prize package is $4,500 USD, which will vary based on location of major airport nearest to Grand Prize Winner's home and costs of air transportation at the time of award. Reservations for any portion of either trip Option is solely based on availability and may be modified by Sweepstakes Entities in order to not exceed the listed ARV. Odds of winning Grand Prize depend on the total number of eligible entries received. All incidental costs and expenses not specifically mentioned herein shall be the sole responsibility of each Grand Prize Winner and of his or her travel companion, including, without limitation, travel and health insurance, ground transportation (except as provided above), airport security or transfer charges and taxes, food and beverages, incidentals, taxes, and gratuities. Hotel taxes and state, federal income taxes may apply and are the sole responsibility of the Grand Prize winner. Hotel taxes are due from the winner at time of booking. A $25 USD fee for the first piece of checked luggage and a $35 USD fee for a second piece of checked luggage may also be assessed and are the responsibility of Grand Prize winner. Fees are charged each way, and are subject to change. Each Grand Prize Winner and his or her travel companion must travel on an identical itinerary. Travel companions must be ten (10) years of age or older. Travel companions that are minors must have the prior written consent of their parent or legal guardian to take the trip and participate in the trip activities. Travel must originate from and end at the same airport. Each Grand Prize Winner and his or her travel companion may be required to provide appropriate government issued photo identification (such as a valid passport) at time of travel, and are solely responsible for determining and obtaining all necessary travel documents and complying with all other travel requirements. No changes will be made to the travel itinerary or other travel details once any portion of travel arrangements have been made, except at Sweepstakes Entities' sole discretion. Sweepstakes Entities are not responsible for changes in schedule or for any expenses incurred as a consequence of flight cancellation/delay or other events beyond Sweepstakes Entities' control. Grand Prize is non-assignable and nontransferable. Grand Prize Winners are solely responsible for payment of all taxes on prizes and for any costs incurred in claiming or using prizes. In the event a Grand Prize Winner or his/her travel companion cancels or fails to take the trip after all itinerary details have been confirmed, in Sweepstakes Entities' sole discretion, and subject to applicable laws, Grand Prize Winner may be responsible for taxes on any costs incurred by Sweepstakes Entities in securing the transportation and/or hotel accommodations, as well as taxes on any portion of the prize that has been awarded. In addition, luggage fees and hotel taxes may not be refundable if a Grand Prize Winner cancels or fails to take the trip after the itinerary details have been confirmed or travel has been booked. Individual components of prize packages are subject to availability and Sweepstakes Entities reserve the right to substitute prizes of equal or greater value; provided, however, that in the event the Martha Stewart Show is postponed or cancelled prior to or during the Grand Prize trip for any reason whatsoever, that portion of the Grand Prize will not be provided and subject to applicable laws no compensation or substitution will be provided in lieu of that cancelled portion of the Grand Prize. Grand Prize Winners will be required to claim their prizes by completing, signing and notarizing an affidavit of eligibility, a liability release and, except where prohibited by law, publicity release, which must be returned via mail or hand delivery by April 23, 2010. Persons (or the parents/legal guardians of any legal minors) traveling as companions of the Grand Prize Winners must also complete and return a liability and publicity release before prize will be awarded. Grand Prize Winners and their travel companions (or the parents/legal guardians of any legal minors), as applicable, must also sign any other legal documents which Sponsor may require (including W9 tax forms if applicable). Failure of the Grand Prize Winner to timely sign, notarize and return any required affidavit and release, or failure of the Grand Prize Winner to claim his or her prize or comply with any term or condition of these Official Rules, will result in disqualification, the forfeiture of his or her interest in the prize, and the award of the prize to a substitute drawing winner to be randomly selected from all remaining eligible entries at the end of the Sweepstakes Period.

INSTANT WIN PRIZES: One hundred and fifty (150) copies of Martha Stewart's Everyday Food: Fresh Flavor Fast cookbooks will be randomly awarded during the Sweepstakes Period as outlined in paragraphs 4 and 7. ARV $35.00 USD each. Odds of winning instant win prizes depend on the total number of eligible entries received. All incidental costs and expenses in claiming or using a prize not specifically mentioned herein shall be the sole responsibility of the Instant Winner. Prizes are subject to availability and Sweepstakes Entities reserve the right to substitute prizes of equal or greater value. Failure of any Instant Winner to timely return any required information, or failure of any Instant Winner to timely claim his or her prize or comply with any term or condition of these Official Rules, will result in disqualification, the forfeiture of his or her interest in the prize, and the award of the prize to a substitute winner to be randomly selected from all remaining eligible Sweepstakes entries at the end of the Sweepstakes Period.
WINNER SELECTION, NOTIFICATION AND ACCEPTANCE: Each potential winner must comply with all terms and conditions of these Official Rules and winning is contingent upon fulfilling all requirements. Sweepstakes Selection: The Grand Prize drawing will be held on or about April 16, 2010 to select one (1) Grand Prize Winner to attend The Martha Stewart Show on the week of May 3, 2010 or May 10, 2010 as solely determined by Sweepstakes Entities. For the Grand Prize Drawing, all online entries must be received by 11:59:59 p.m. (ET) on April 9, 2010 and all mail-in entries must be postmarked by April 9, 2010 and received by 12:00:01 p.m. (ET) on April 15, 2010. The drawing will be conducted as follows: The Grand Prize Provisional Winner will be selected at random and Sponsor's fulfillment center will attempt to contact the selected Grand Prize Provisional Winner by telephone during regular business hours (9:00 a.m. and 5:00 p.m. ET) using the telephone number provided on the Grand Prize Provisional Winner's entry form. If Sponsor's fulfillment center is unable to reach the Grand Prize Provisional Winner by telephone (Sponsor's fulfillment center may call up to three times in a 24-hour period and no messages will be left), or if a Grand Prize Provisional Winner is unwilling or unable to travel on the specified dates, that Grand Prize Provisional Winner will be disqualified and a substitute Grand Prize Provisional Winner will be randomly selected from among the remaining eligible entries. Subject to the additional requirements explained below for Canadian Provisional Winners, the first eligible Grand Prize Provisional Winner that Sponsor's fulfillment center successfully contacts by telephone and that claims his/her prize in accordance with these Official Rules will be declared the Grand Prize Winner. Canadian residents who are selected in the drawings will be deemed a Grand Prize Provisional Winner and will be awarded the prize subject to the requirements described below for a Canadian Provisional Winner. Subject to the conditions relating to trip cancellations and no-shows described in paragraph 6 above, Grand Prize Winner may waive his/ her right to receive a prize in which case Sponsor may, at its option, select an alternate Grand Prize Provisional Winner or may choose not to award the Grand Prize. Instant Win Game: One hundred and fifty (150) random, computer-generated winning times, one (1) for each of the Instant Win Game prizes listed in paragraph 6 above, will be pre-designated. The first player to play the Instant Win Game, as instructed in paragraph 4 above, at or after any one of the randomly generated times, will receive an on-screen instant winner message and the notification email described in paragraph 4, above. Subject to the additional requirements explained below for a Canadian Provisional Winner, individuals must follow the instructions on screen and in the notification email in order to be declared a winner and to claim his/her prize. If due to a printing, production or other error, more Instant Win Prizes are claimed than are intended to be awarded for any prize level per the above, the intended prizes will be awarded in a random drawing from among all verified and validated prize claims received for that prize level. In no event will more than the stated number of Instant Win Prizes be awarded.
CANADIAN WINNERS: All Canadian Provisional Winners, in order to win and receive a prize, must first correctly answer, unaided and without mechanical or electronic assistance, a time-limited mathematical skill-testing question to be administered by phone. Failure of a Canadian Provisional Winner to correctly answer the skill-testing question in the time allotted will result in disqualification, the forfeiture of his or her interest in the prize, and the random selection of a substitute winner from among all remaining eligible entries at the end of the Sweepstakes Period. For Canadian Provisional Instant Winners, the skill-testing question will be administered when the Canadian Provisional Instant Winner calls to claim his/her prize as instructed in the notification email. For the Grand Prize, Sponsor's fulfillment center will attempt to contact a Canadian Provisional Grand Prize Winner by telephone during regular business hours (9:00 a.m. to 5:00 p.m. ET) at the number provided on the Canadian Provisional Grand Prize Winner's entry form. If Sponsor's fulfillment center is unable to reach a Canadian Grand Prize Provisional Winner by telephone (Sponsor's fulfillment center may call up to three (3) times in a 24-hour period and no messages will be left), that Canadian Provisional Grand Prize. Winner will be disqualified and a substitute winner may be randomly selected from the remaining eligible entries at the end of the Sweepstakes Period.
CONDITIONS: By entering, participants agree to be bound by these Official Rules and by the decisions of Sponsor and Sweepstakes judges appointed by Sponsor, which shall be final and binding in all respects. Any person attempting to defraud or in any way tamper with this Sweepstakes will be ineligible for prizes and may be prosecuted to the full extent of the law. Unless prohibited by law, acceptance of a prize constitutes permission for the Sponsor, Martha Stewart Living Omnimedia, Inc., Delta Vacations, and their respective advertising and promotional agencies, to use each winner's name, address (city and state/province) and/or likeness for advertising and trade purposes without further compensation, worldwide and in perpetuity, in any and all forms of media, now known and hereafter devised, including without limitation the Internet.
DISCLAIMERS: By entering, participants acknowledge and agree that (A) Martha Stewart Living Omnimedia, Inc. is not a Sponsor and is not involved in any way with the administration of this Sweepstakes, the selection of winners and the awarding of prizes, and (B) the Sweepstakes Entities will not be liable for losses or injuries of any kind, including but not limited to property damage, personal injury or death, resulting from acceptance/possession/use and/or misuse of prize(s), the theft of prizes or mail, travel to and from any prize-related activity, participation in Valpak Sweepstakes, printing, mailing or distribution errors, or any malfunctions of the telephone network, computer Internet system, computer dating mechanism, computer equipment, software, or any combination thereof, or for any entries that are late (including delayed data transmissions), tampered with, garbled, incomplete, misdirected, lost, postage-due, forged, illegible, inaudible, mutilated, mechanically duplicated, mass machine printed, or otherwise not in compliance with these Official Rules. Sweepstakes Entities are not responsible or liable for any injury or damage to any participant's or third person's computer and/or its contents, related to or resulting from Valpak Sweepstakes. Sponsor reserves the right to terminate, suspend or modify Valpak Sweepstakes if, in its sole discretion, it determines that for any reason Valpak Sweepstakes is not capable of running as originally planned, or fraud, technical failures, printing, mailing or distribution errors, or any other unanticipated causes or occurrences have compromised the fairness or integrity of Valpak Sweepstakes or otherwise for any other reason whatsoever. In the event Valpak Sweepstakes is terminated prior to the stated end date, Sponsor reserves the right to award all prizes in a random drawing from among all eligible entries received as of the date of termination.
